Intellectual Property in Iran

Intellectual Property in Iran concerns the rights and commercial arrangements surrounding inventions, product designs, creative work, software and confidential know-how. PAD International Group helps businesses identify the assets that matter, examine ownership and choose appropriate protection, licensing or dispute-response steps. The review focuses on the asset and how it is used; one registration or contract rarely answers every question.

Start by identifying the asset

A product may combine several distinct assets: a technical mechanism, an external design, a brand, software and confidential production information. Each requires a separate analysis. Before commissioning work, disclosing a prototype or entering a distribution arrangement, establish what already exists, who created it, what has been disclosed and which rights the business needs to control.

Our service is relevant to inventors, manufacturers, software businesses, publishers, designers and investors acquiring or licensing Iranian assets. It can also assist overseas rights holders assessing an Iranian project. Protection depends on the applicable law and facts, including territorial and eligibility requirements; rights obtained abroad should not automatically be assumed to have the same effect in Iran.

Depending on the engagement, we can prepare an asset and ownership review, assess a proposed filing route, coordinate registration work, review confidentiality arrangements, draft licensing or assignment documents and assess suspected misuse. The proposal identifies the assets, territories, documents and deliverables covered. Technical patent drafting, specialist searches, translations and contested proceedings are identified separately where needed.

Inventions and technical innovation

For a proposed invention, the first discussion should establish the technical problem, the proposed solution, its development history and any disclosures to customers, investors or the public. Filing requirements and the effect of earlier disclosures require assessment before launch. A general business idea is not automatically a patentable invention, and a legal review cannot replace a technical analysis of the proposed claims.

Patentability and freedom to operate are different questions. Seeking protection for your own development does not by itself establish that commercialising the product avoids other parties’ rights. Where relevant, the review should define which searches and specialist opinions are needed for the intended markets. Do not publish detailed technical information in a general enquiry form.

Industrial designs and product appearance

Where commercial value lies in appearance, we examine the design materials, creator, relevant dates and the proposed products. Prepare clear drawings or images and identify any public display, sale or online publication. A design strategy should address the versions the business will actually use and who is entitled to apply. Protecting appearance and protecting a technical function are separate considerations.

Copyright, creative work and software

For written, visual, musical or other creative material, identify the author, the work, the creation and publication history and the proposed use. Iran’s framework includes the Act on Protection of Authors, Composers and Artists Rights, listed by WIPO Lex as a 1970 law. Software also has a distinct statutory framework. The applicable scope, amendments and eligibility conditions must be checked for the specific work.

In a commissioned project, payment and possession of files should not be treated as a complete answer to ownership. A well-prepared agreement identifies existing materials, new deliverables, permitted adaptations, third-party content and rights of reuse. For software, it should also address source code, documentation, maintenance access and any third-party or open-source components. Economic rights, authorship interests and contractual permissions need to be distinguished. Projects using generative tools may also need an AI law and compliance assessment of inputs, outputs and supplier terms.

Trade secrets and confidential know-how

Confidential information is easier to manage when a business can explain what it is and how access is controlled. Useful measures include limiting access, documenting disclosures, using suitable confidentiality terms and specifying return or deletion obligations. We help align contractual duties with the actual working arrangements rather than relying only on a broad non-disclosure clause.

A trade-secret assessment examines whether information meets the applicable legal conditions and how it was obtained or used. Public information and general employee experience should not simply be labelled proprietary. Where a collaboration involves production methods, pricing models or datasets, decide what may be shared, with whom and for which purpose before disclosure.

Licensing, assignments and joint development

A licence permits defined use; an assignment concerns transfer of specified rights. The licensing or assignment agreement should identify the asset, territory, duration, permitted activities, exclusivity, sublicensing and payment arrangements. It should also allocate responsibility for maintenance, registration steps, third-party claims and termination. Some formalities or recordal steps may be relevant and must be checked for the right concerned.

Joint development needs particular care. Identify each party’s pre-existing material and what happens to improvements, jointly created outputs and independently developed work. Agree who can file applications, approve disclosures and commercialise results. A collaboration that begins informally can otherwise leave ownership uncertain just when a buyer or investor asks for evidence.

The Iranian legal framework

WIPO Lex lists Iran’s Act on the Protection of Industrial Property 2024 as covering inventions, utility models, industrial designs, trademarks, trade names and undisclosed information, among other subjects. The relevant route must be checked against the applicable Persian legislation, implementing rules, amendments and transitional arrangements. Older summaries of earlier legislation should not be used as a substitute for that review.

For brand names and logos, our separate Trademark & Brand Registration in Iran page explains searches and filing strategy. This Intellectual Property service addresses the wider asset and ownership questions, including situations where several types of right or contractual protection overlap.

If you suspect copying or misuse

Preserve the original files, agreements, dated communications, registration records and examples of the suspected conduct. Record where and when the material was found and avoid altering the underlying evidence. We assess the asserted rights, ownership, territory and available procedures before recommending correspondence, negotiation or proceedings. A public accusation or takedown request should not be the first step without checking its basis.

Urgent deadlines and continuing disclosure should be identified at the outset. Remedies and enforcement depend on the evidence and applicable procedure; no outcome can be guaranteed. Litigation, technical expert work and foreign-law input require their own agreed scope where relevant.

Example: a manufacturer commissioning a new product

A manufacturer hires a designer and an engineer to develop a product. The manufacturer receives drawings and pays both invoices, but the contracts do not explain ownership or reuse. Before approaching a distributor, it should establish rights in the appearance, technical material and production know-how, identify any third-party components and assess possible filing steps. This illustrative scenario shows why an asset review should accompany the commercial contract.

Frequently asked questions

Can one application protect every part of my product?

Usually the analysis involves distinct assets and protection routes. We identify which elements call for a filing review and which require evidence, confidentiality controls or contractual arrangements.

Does an NDA replace a patent or design application?

No. Confidentiality terms and registered rights serve different purposes. The appropriate combination depends on the asset, disclosure history, eligibility and commercial plan.

Can you review ownership before an acquisition or investment?

Yes, subject to scope. The review can examine the asset schedule, creator agreements, licences, registrations and restrictions affecting use or transfer. Gaps are reported so they can be considered in the transaction.

What should an overseas rights holder provide first?

Begin with a non-confidential description of the asset, its connection with Iran and the intended transaction or suspected misuse. Relevant registrations and agreements can follow through the agreed document-sharing arrangements.

Before your next disclosure or commercial agreement

Choose the asset you most need to control: a technical solution, product appearance, creative work, software or confidential process. Note who created it and whether it has already been shared. That short outline helps determine whether your next step should be a filing assessment, an ownership review or a confidentiality agreement. Arrange an Intellectual Property asset review.
